The binding agreement that governs use of the Thriving Wolves affiliate network.

These Terms of Service ("Terms") form a binding agreement between you and Thriving Wolves Ltd. ("Thriving Wolves", "we", "us") governing your use of the Thriving Wolves affiliate network (the "Platform"). By applying for, accessing or using the Platform you agree to these Terms, our Privacy Policy, our Acceptable Use Policy and our Cookie Policy.
You must be at least 18 years old, legally capable of entering into a binding contract, and not on any sanctions or restricted-parties list to use the Platform. By applying you confirm that all information you provide is accurate and that you are authorised to act on behalf of any company you represent.
Publisher / Affiliate — a person or entity approved to promote Offers through the Platform. Advertiser — a brand whose Offers are made available through the Platform. Offer — a specific campaign listed by an Advertiser with defined payouts, geo and traffic rules. Action — a click, lead, install, sale or other conversion event defined by an Offer. Commission — the amount payable to a Publisher for a verified Action.
Applications are reviewed by a senior account manager and approved at our discretion. We may request additional information (including KYC documents for higher-payout offers or regulated verticals) and may reject or revoke approval at any time. You are responsible for keeping your account credentials secure and for all activity that occurs under your account.
Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Platform solely to participate in the affiliate programme. You may not reverse-engineer, scrape, resell, sub-license or use the Platform to build a competing service.
Commissions are earned only for verified Actions that comply with the Offer terms and our policies. Default payout schedule is NET-7. NET-15 and weekly schedules are available; NET-1 may be granted to top-tier partners at our discretion. The default minimum payout threshold is USD 50. Payments are issued via Wire, PayPal, Payoneer, Wise or USDT (TRC-20 / ERC-20). Currency conversions are performed at then-current rates.
We may withhold up to 25% of Commissions as a rolling reserve for the first 30 days of a Publisher's activity, and longer for high-risk verticals. We may reverse Commissions when: (a) an Action is identified as fraudulent or non-compliant; (b) the Advertiser invalidates the Action within the standard hold period; or (c) a charge-back, refund or cancellation occurs. Reversal decisions are communicated through the dashboard with reason codes.
You are responsible for declaring and paying any taxes due on Commissions earned. Where we are required by law to withhold taxes (for example, under double-tax treaties or for US-source income), we will do so and provide appropriate documentation. You may be asked to provide a W-9, W-8BEN, GST/VAT registration or equivalent.
Offer-level information — payouts, private deals, allowed sources, EPCs and the like — is confidential and may not be shared publicly, posted to forums or disclosed to non-approved parties. Confidentiality survives termination.
The Platform, including its software, design, dashboards, tracking technology and brand, is owned by Thriving Wolves and protected by intellectual-property laws. Advertiser creatives remain the property of the relevant Advertiser. You retain ownership of your traffic sources and any original creative you produce.
The full list of prohibited traffic types and behaviours is set out in our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in suspension, account termination, forfeiture of unpaid Commissions and legal action.
Either party may terminate the relationship at any time on written notice. We may suspend or terminate your account immediately for material breach (including fraud), regulatory reasons or non-payment. On termination, unpaid Commissions for verified, compliant Actions will be paid on the next normal cycle. Sections that by their nature survive termination (confidentiality, IP, indemnification, limitation of liability, dispute resolution) continue to apply.
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee uninterrupted service, specific earnings, conversion rates or approval percentages.
To the maximum extent permitted by law, in no event shall Thriving Wolves be liable for indirect, incidental, consequential, special or exemplary damages, or for lost profits, lost revenue, loss of goodwill or loss of data, even if advised of the possibility of such damages. Our aggregate liability arising out of or relating to these Terms shall not exceed the total Commissions paid to you (for Publishers) or paid by you to us (for Advertisers) in the six months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless Thriving Wolves, its officers, employees and agents from any third-party claim arising out of: (a) your breach of these Terms or any policy; (b) your traffic, creatives or content; (c) your violation of any law or third-party right.
These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. Any dispute shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration administered by the London Court of International Arbitration (LCIA), seat London, language English. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction.
If any provision of these Terms is held unenforceable, the remainder remains in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign freely. These Terms, together with the policies referenced above, form the entire agreement between the parties.
